1. Agreement to Terms
By accessing or using ezyWFM ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.
These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms.
2. Description of Service
ezyWFM is a workforce management platform designed for contact centers. The Service includes:
- Contact volume forecasting and staffing calculations
- Employee scheduling and shift management
- Time and attendance tracking
- Real-time adherence monitoring
- Analytics and reporting
- API access for integrations
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice.
3. Account Registration
To use certain features of the Service, you must register for an account. When you register, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security of your password and account
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
We reserve the right to suspend or terminate accounts that violate these Terms or contain inaccurate information.
4. Subscription and Payment
4.1 Free Trial
We may offer a free trial period for new users. At the end of the trial period, your account will require a paid subscription to continue using the Service. Trial accounts that are not converted to paid subscriptions may be deleted after a grace period.
4.2 Billing
Paid subscriptions are billed in advance on a monthly or annual basis. You agree to pay all fees associated with your subscription plan. All fees are non-refundable except as expressly set forth in our Cancellation Policy.
4.3 Price Changes
We may change our subscription fees upon 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
5. User Responsibilities
You are responsible for:
- All activity that occurs under your account
- Ensuring your use complies with applicable laws and regulations
- Maintaining the confidentiality of your login credentials
- Obtaining any necessary consents from your employees or users whose data you process through the Service
- Complying with our Acceptable Use Policy
6. Data and Privacy
Our collection and use of personal information is governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described therein.
You retain ownership of all data you submit to the Service. You grant us a limited license to use, copy, and process your data solely to provide and improve the Service.
7. Intellectual Property
The Service and its original content (excluding user-submitted data), features, and functionality are and will remain the exclusive property of ezyWFM and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.
You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code of the software.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EZYWFM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless ezyWFM and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or related to your use of the Service or violation of these Terms.
11. Termination
We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease.

12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions.
13. Dispute Resolution
Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA), with proceedings conducted in Maricopa County, Arizona.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy, Acceptable Use Policy, and any other legal notices published by us on the Service, constitute the entire agreement between you and ezyWFM concerning the Service.
